Terms of Service
Last updated: July 10, 2026
These Terms of Service (these "Terms") are an agreement between Bright Arrival Inc., a Delaware corporation doing business as "Press Club" ("Press Club," "we," "us"), and the person or entity that engages our services or saves a payment method with us ("Client," "you"). Please read them before saving a payment method or asking us to begin work.
1. Acceptance
You accept these Terms by doing any of the following: signing or electronically accepting a Press Club Engagement Agreement; checking the box indicating acceptance of these Terms during a Stripe checkout; saving a payment method with us; or instructing us to begin work. If you accept on behalf of a company or other entity, you represent that you are authorized to bind it, and "you" means that entity.
2. Relationship to Your Engagement Agreement
Most clients also sign a Press Club Engagement Agreement. If there is a conflict between a signed Engagement Agreement and these Terms, the Engagement Agreement controls. These Terms govern in all other cases, including where you have saved a payment method or approved outreach by email before signing.
3. Services
Press Club provides media outreach services to help you secure editorial coverage in third-party publications and broadcasters (each an "Outlet"). Services typically include: (a) a kickoff interview; (b) story and messaging development; and (c) targeted outreach to journalists via email and professional networks, in each case using respectful, non-spammy practices. We will only pitch to Outlets you approve in writing (including by email) before outreach.
Where purchased, we may also draft and edit a press release and coordinate distribution through a third-party press wire service selected by you (the "Wire Service"). The Wire Service is operated by a third party and is subject to its own terms, policies, and acceptance criteria. We do not control the Wire Service's distribution network, editorial policies, pickup by news outlets, or timing of publication on third-party sites.
4. Fees
Our pricing is success-based: you pay a fee for each qualifying editorial placement (a "Placement"), plus any press release drafting fee ("Press Release Fee") and Wire Service pass-through fees you have purchased. Fee amounts are as set out in your Engagement Agreement or as otherwise provided to you in writing before outreach begins, including in the fee schedule accompanying the written outlet approval described in Section 3 or in an order confirmation.
5. Payment Authorization and Billing
Card on file. Before we begin outreach, you will save a valid payment card via our Stripe payment link. You authorize us to store your payment method with our payment processor (Stripe) and to keep your payment information current.
Authorization to charge. You authorize Press Club to charge the card on file: (a) for each Placement, on the date the Placement is published, with the verification described below (including the published link) provided at or before the time of the charge; and (b) for the Press Release Fee and any Wire Service pass-through fees, upon your written approval of the final press release draft and our submission (or scheduled submission) to the Wire Service. These are merchant-initiated charges: you agree that we may initiate them without additional approval at the time of each charge. This authorization remains in effect until all amounts due have been paid.
Verification. We will provide the published link or other reasonable confirmation that a Placement was published.
Failed charges. If a charge cannot be processed, the amount is immediately due and payable upon invoice by ACH/wire or card via Stripe, and you will promptly provide a working payment method.
Refunds and billing questions. Once a Placement has published, the corresponding fee is earned and non-refundable. Wire Service fees are generally non-refundable once the Wire Service accepts the order, subject to the Wire Service's own terms. If you believe a charge is in error, contact us at [email protected] and we will review it promptly.
6. What Counts as a Placement
A Placement is an original editorial article, segment, or podcast created by an independent journalist or producer at an Outlet that mentions you, your product, or your leadership, and that was materially caused by Press Club's outreach during the Term or within the Tail (defined below).
Exclusions. Sponsored posts, paid placements, press releases, advertorials, user-generated posts, and directory listings do not qualify.
Syndication. When substantially the same story is syndicated across multiple domains under the same publisher network, it counts as one Placement. Distinct original pieces by different Outlets count separately.
Tier classification. A Placement counts at the Flagship Outlet rate when it is published under a Flagship Outlet's own masthead, domain, or national broadcast or digital properties, including sub-brand, contributor, and columnist content (e.g., CNBC Make It, Forbes contributor articles). Placements by local affiliates of listed broadcast networks count as Other Outlets.
Attribution. Coverage published during the Term or the Tail by an Outlet that Press Club contacted during the Term, as documented in Press Club's outreach records, is presumed to have been materially caused by Press Club's outreach unless you demonstrate otherwise. You will promptly notify us of any journalist inquiry or published coverage of which you become aware.
7. Your Responsibilities
You will: participate in a kickoff interview (approximately 60 minutes) and a messaging review (approximately one week); provide truthful, accurate, and non-misleading information; promptly review and approve outreach materials and requests for facts or assets; and make a spokesperson available for interviews within reasonable timeframes.
If you are unresponsive to our communications for thirty (30) or more consecutive days, we may end the engagement by written notice, and the Tail will run from the date of that notice.
8. Account Connections
Some parts of the service work through your own accounts, such as a Gmail or Google Workspace mailbox you connect. You are responsible for having the authority to connect those accounts. We only send outreach you or your team approved, and you can disconnect access at any time. Our Privacy Policy describes how we handle the data involved.
9. Editorial Independence; No Guarantee of Coverage
All editorial decisions rest solely with the Outlets. Press Club cannot and does not guarantee coverage, headlines, timing, or final content. Distribution of a press release via a Wire Service does not guarantee editorial pickup or coverage by any Outlet.
10. Term, Termination and Tail
The engagement begins when you accept these Terms or sign an Engagement Agreement, whichever comes first, and continues month-to-month (the "Term"). Either party may end the engagement at any time by written notice (email suffices). Fees are due for each Placement published during the Term or within the Tail.
Tail. If a Placement publishes within 90 days after the engagement ends and was materially caused by Press Club's outreach during the Term, it remains billable, and you authorize us to charge it under Section 5.
Sections that by their nature should survive the end of the engagement, including payment obligations, confidentiality, and limitation of liability, survive termination.
11. Content, Compliance and Indemnity
You are responsible for, and warrant, the accuracy and legality of all statements, claims, data, images, and brand assets you supply. Press Club will not knowingly publish false statements or violate applicable advertising and endorsement rules. Each party will comply with anti-spam and anti-corruption laws. You will indemnify and hold Press Club harmless from third-party claims arising from materials or instructions you provide.
12. Confidentiality and Publicity
Non-public information shared in connection with the engagement is confidential and may be used only to perform the engagement. Press Club may reference your name, logo, and non-confidential Placement results in press lists or case studies unless you opt out in writing.
13. Intellectual Property
Each party retains all right, title, and interest in its pre-existing intellectual property. Deliverables Press Club creates for outreach (e.g., pitch drafts, press release drafts) are licensed to you for internal and promotional use, excluding resale or sublicensing.
14. Limitation of Liability
Except for your indemnity obligations, each party's total liability under these Terms will not exceed the total fees paid or payable by you in the three (3) months preceding the event giving rise to liability. Neither party is liable for consequential, incidental, special, or punitive damages. The pressclub.app site is provided as is.
15. Changes to These Terms
We may update these Terms from time to time by posting a revised version at this page with a new "Last updated" date. Updates apply to new engagements from the date of posting. For ongoing engagements, material changes take effect only if you agree to them in writing (an email reply suffices); otherwise the version you accepted continues to govern your engagement.
16. General
These Terms, together with any signed Engagement Agreement and your order confirmation or checkout page, are the entire agreement regarding the services. Except as provided in Section 15, amendments must be in writing (email or e-signature acceptable). Neither party may assign without consent, except to a successor in a merger or sale of substantially all assets. Notices by email suffice. No failure or delay by either party in exercising any right under these Terms waives that right. If any provision is unenforceable, the remainder remains effective. These Terms are governed by the laws of the State of Delaware, and venue for disputes lies in Delaware.
